1. Who you're contracting with
These Terms are between Uwise Agency, a web design studio based in Copenhagen, Denmark (CVR: 43654063), and you, the visitor or client ("you").
2. Scope of services
We design, build, host, and maintain websites on a monthly subscription basis. Our standard plans are:
- Lite — a custom-designed single-page website. From €69/month on a 6-month commitment.
- Pro — up to six custom-designed pages. From €119/month on a 6-month commitment.
- Plus — unlimited custom-designed pages with premium design treatment, e-commerce, and custom integrations. From €199/month on a 6-month commitment.
Each plan offers four commitment lengths (2, 3, 6, or 12 months); the longer the commitment, the lower the monthly rate. Specific monthly rates per plan and commitment length are stated on the pricing page and confirmed in writing in the order confirmation.
All plans include hosting, SSL certificates, daily backups, security patches, monitoring, GDPR-compliant policy templates, on-page SEO, analytics setup, and minor changes at no additional cost. Domain registration is not included.
Plan-specific inclusions, support response windows, revision rounds, and major-change allowances are documented on the pricing page (uwise.agency/#pricing) and form part of these Terms by reference.
Until a buyout is completed (see section 9), the website code, design files, and all related assets remain the property of Uwise Agency. The client receives a non-exclusive, non-transferable licence to use, display, and benefit from the website in connection with their business for as long as the subscription is active.
3. Quotes & orders
A binding contract is formed when you submit an order (via the website form or by written acceptance of a written quote) and we confirm it in writing. The order confirmation states: chosen plan, commitment length, monthly rate, scope, expected delivery date, and any custom terms. Anything not in the order is out of scope and may be added later as a major change (see section 8).
4. Fees, VAT & payment
- All listed prices are excluding Danish VAT (moms) at the prevailing rate, currently 25%, where applicable.
- Monthly subscription: billed monthly in advance starting on the order confirmation date. Payment by direct debit, card, or bank transfer.
- No upfront cost: there is no separate build fee or deposit. The first month is invoiced on the order confirmation date and covers the design, build, and the first month of operation.
- Commitment-length pricing: the discounted monthly rate (e.g. €69 for Lite at 6 months) requires you to remain on the plan for the full commitment period. Cancellation during the commitment period requires payment of the remaining months at the agreed rate.
- After commitment: the plan continues month-to-month at the 6-month-tier monthly rate, cancellable with 30 days' written notice.
- 12-month plans: the "pay 10, get 12" framing means twelve months of service for the price of ten — billed at the 12-month rate for ten months, with months eleven and twelve included at no charge.
- Buyout fee: due in full upon written buyout request, equal to 12× the monthly rate of the plan at the time of buyout. See section 9.
- Post-buyout changes: quoted per request, typically €99–€399 depending on scope. Payable upon delivery.
- Payment terms: invoices due immediately for monthly billing. Custom-quoted work follows 14 days net unless otherwise agreed.
- Failed payments: if a monthly invoice is not paid within 14 days of issue, we may suspend the website after written notice. If payment remains outstanding for 60 days, we may terminate the engagement and the licence under section 7 ends.
- Late payments may attract interest at the statutory Danish rate under the Renteloven.
5. Timeline & 14-day delivery guarantee
Every plan ships within 14 business days from the date all required materials are received and the first month's invoice is paid. Required materials include: brand assets (logo, fonts, colour palette where applicable), all written content, all photographs and other media, and signed approval of the order confirmation.
If we miss the 14-business-day deadline for reasons within our control, your first month of service is free — credited on the first invoice. Delays caused by waiting on you (content, feedback, approvals, asset delivery) pause the clock.
Each plan includes a defined number of design revision rounds (Lite: 2; Pro: 4; Plus: unlimited). Additional revisions on Lite and Pro plans are billed at our then-current rate or quoted as a major change.
6. Client responsibilities
To deliver on time we need you to:
- Provide content (text, images, brand assets) by agreed deadlines.
- Confirm you have the right to use any materials you give us.
- Respond to revision requests promptly.
- Pay invoices on time.
If you cause significant delays, we reserve the right to pause the project and charge for additional time at our standard rate.
7. Intellectual property
Until a buyout is completed (see section 9), Uwise Agency retains full ownership of the website code, design files, and any custom assets we produce specifically for the engagement. While your subscription is active, you receive a non-exclusive, non-transferable, revocable licence to use, display, and benefit from the website in connection with your business.
Upon completion of a buyout, you receive an exclusive, perpetual, worldwide licence to the final website code, design, and assets created specifically for you. From the buyout completion date you may host the website with any provider, modify it, and engage other developers.
In all cases, we retain rights to:
- Generic underlying code, components, libraries, design systems, and methods we use across projects.
- The right to display your finished work in our portfolio and on social media, unless you specifically request otherwise in writing.
You retain rights to all content (text, images, video, brand assets) you provide to us, both during the subscription and after. Third-party assets (fonts, stock images, plugins) are licensed under their own terms, which we pass through transparently.
8. Subscription terms & support
Each plan is a continuous service that includes design, development, hosting, maintenance, and support for as long as the subscription is active. Inclusions vary by plan and are listed on the pricing page (uwise.agency/#pricing) at the time of order.
8.1 What's included on every plan
- Hosting on infrastructure operated by us or a vetted sub-processor.
- Free SSL certificate, automatically renewed.
- Continuous uptime monitoring and daily backups (retained 30 days).
- Security patches and routine maintenance.
- GDPR-compliant policy templates and cookie consent system, kept current as the regulatory landscape evolves.
- Email support with a guaranteed response within the plan-specific window: 48 hours (Lite) · 24 hours (Pro) · 12 hours (Plus), on business days.
- Minor changes at no additional cost: copy edits, image swaps, content updates, small layout tweaks, single-element additions. Reasonable use applies; we may flag requests that fall outside the spirit of "minor" and propose a quote for them.
8.2 What's not included
- New pages or sections beyond the plan's pages allowance.
- Substantial redesigns, brand refreshes, or new features.
- Custom integrations and third-party APIs (Pro), beyond what's covered as a Plus inclusion.
- Migrations to other platforms or major version upgrades not initiated by us.
- Domain registration, paid third-party software, premium fonts, or licensed stock photography.
Plus plan clients receive one major change per quarter included; Lite and Pro clients are quoted per request.
8.3 Billing & suspension
The subscription is billed monthly in advance and is non-refundable for partial months. The plan can be ended only at the end of the initial commitment, by buyout, or for cause as set out in these Terms.
If a monthly invoice is not paid within 14 days of the due date, we may, after written notice, suspend the website until payment is received. Continued non-payment for 60 days or more may result in termination of the engagement, in which case the licence under section 7 ends and the website is removed from our infrastructure.
9. Cancellation & buyout
9.1 During the initial commitment period
The discounted monthly rate (e.g. €69/month for Lite at 6 months) is conditional on you remaining on the plan for the full commitment period chosen at order.
You may cancel at any time during the commitment period, but you remain liable for the remaining months at the agreed rate. Alternatively, you may complete a buyout (section 9.3) and end the subscription that way.
9.2 After the initial commitment
Once your initial commitment ends, the plan continues month-to-month at the 6-month-tier monthly rate. You may cancel at any time with 30 days' written notice (email is sufficient). The 30-day notice is billed normally; the website is taken offline at the end of the notice period and the licence under section 7 ends, unless a buyout is completed within the notice period.
9.3 Buyout
At any time after the initial commitment ends, you may take full ownership by purchasing a buyout. The buyout fee is 12× the monthly rate of your plan at the time of buyout. As of these Terms: €828 (Lite) · €1,428 (Pro) · €2,388 (Plus), plus VAT where applicable.
The buyout process is:
- You request a buyout in writing (email is sufficient).
- Within 5 business days we issue a buyout invoice.
- Upon payment, we transfer all source files, design assets, and access credentials within 10 business days.
- The licence under section 7 becomes exclusive and perpetual on the transfer date, and the subscription ends.
Refunds of the buyout fee are not available once paid, except where we are unable to complete the handover for reasons within our control. Following buyout, future change requests are quoted individually at €99–€399 per change for self-contained work, or as a project quote for larger work.
9.4 14-day delivery guarantee
If we miss the 14-business-day delivery deadline (per section 5) for reasons within our control, your first month of service is credited on the first invoice. This does not extend the commitment period or alter any other obligation under these Terms.
9.5 If we cancel
If we cease operations or otherwise become unable to operate your website (for example, due to circumstances outside our reasonable control), we will give you at least 60 days' written notice. During that period we will help transfer the website at no buyout fee, providing all source files, design assets, and access credentials so you can continue with another provider.
10. Liability
We deliver our work with reasonable care and skill. However:
- We are not liable for indirect, consequential, or special losses, including loss of profit, loss of revenue, loss of business opportunity, or loss of data, except where caused by gross negligence or wilful misconduct.
- Our total aggregate liability under any project is limited to the amount you have paid us for that project in the 12 months before the event giving rise to the claim.
- Nothing in these Terms limits liability that cannot be limited under Danish law (e.g., for personal injury or fraud).
11. Confidentiality
We treat any business information you share with us as confidential. We do not disclose it except to subcontractors under similar confidentiality obligations, or where required by law. This survives the end of the engagement.
12. Consumer rights
If you are buying as a private consumer (not in the course of a trade or profession), you may have a 14-day right of withdrawal under the Danish Consumer Contracts Act (Forbrugeraftaleloven). However, since the design and build work for your website typically begins immediately upon order — well within the 14-day window — by placing the order you expressly request that we begin performance during the withdrawal period and acknowledge that, once the work has begun, you lose the right of withdrawal for the portion of the service that has been performed. We will confirm this in writing in your order confirmation.
Most of our clients are businesses (B2B) for whom this section does not apply.
13. Governing law
These Terms are governed by Danish law. Any disputes will be settled by the Danish courts, with the City Court of Copenhagen (Københavns Byret) as the agreed venue.
14. Changes
We may update these Terms from time to time. The version that applies to your project is the one in force on the date your quote is accepted. We will notify retainer clients of changes at least 30 days before they take effect.
